Vibe Align Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by Vibe Align ("we," "us," or "our"), including our website, consulting services, AI Readiness Assessment, and software platforms (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree, you must cease use of the Services immediately.

2. Services and Scope

Vibe Align provides AI-powered automation, regulatory intelligence, and operational consulting for behavioral health organizations. Our Services are designed to support administrative and clinical workflows. We do not provide clinical care, medical advice, or legal counsel.

3. HIPAA Compliance and BAAs

For clients that are "Covered Entities" under HIPAA, Vibe Align acts as a "Business Associate." We will not process Protected Health Information (PHI) until a formal Business Associate Agreement (BAA) has been executed. You are responsible for ensuring your use of our Services complies with your internal policies and applicable laws, including 42 CFR Part 2.

4. AI Readiness Assessment

The AI Readiness Assessment is a one-time service priced at $979. We offer a money-back guarantee: if we cannot identify at least 5 hours per week in recoverable staff time through our structured intake and analysis, you are entitled to a full refund. Refund requests must be made within 7 days of the walkthrough call.

5. Intellectual Property

All materials, software, code, and methodologies developed by Vibe Align remain our exclusive intellectual property. You are granted a limited, non-transferable license to use the deliverables for your organization's internal business purposes as specified in your engagement agreement.

6. User Responsibilities

You agree to provide accurate information, maintain the security of any account credentials, and use the Services only for lawful purposes. You are responsible for the actions of your staff and for ensuring that any AI-generated outputs are reviewed by qualified human personnel before being used in clinical or regulatory contexts.

7. Limitation of Liability

Vibe Align shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Services. Our total liability for any claim shall not exceed the amount paid by you to Vibe Align in the 12 months preceding the claim.

8. Governing Law

These terms shall be governed by the laws of the state in which Vibe Align is registered, without regard to conflict of law principles.
